What happened?
The Council adopted its negotiating position on EU Inc on 23 October 2026. The proposed optional corporate framework would sit alongside national company-law regimes and aims to simplify cross-border business and investment.
Key details
The Council describes online registration within two days at a maximum cost of €100. Its position retains an employee stock-option framework with safeguards and supports digital procedures. The published mandate preserves national anti-abuse, tax-residence and exit-tax safeguards. These are proposed features, not currently available entitlements.
Who is affected?
Founders, growth companies and investors considering European operations should monitor the file, including GCC investors evaluating European companies. The proposed corporate form should not be assumed to determine a company’s tax residence or settle its tax treatment.
Why it matters
T&M analysis: a more consistent incorporation and governance framework could reduce friction in European expansion and investment due diligence. The commercial benefit will depend on the final text, national implementation and each company’s operating model.
Business impact
Keep incorporation, employment, substance and tax planning as separate workstreams. A proposed fast registration process does not remove existing licensing, payroll, tax-registration or anti-abuse obligations.
What happens next?
Negotiations with the European Parliament can begin once Parliament adopts its position. The Council proposes a 21-month implementation period, but there is no operative launch date to use for business planning.
